1. Definitions
- "School" — the institution that subscribes to the Service.
- "User" — anyone who accesses the Service, including administrators, teachers, accountants, parents/guardians, and students.
- "School Data" — the content and records a School uploads to or generates on the Service.
2. Eligibility and accounts
To use the Service you must register an account with accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorised use. Accounts are created and managed by the School, which is responsible for the users it invites and the roles it grants.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in breach of any applicable law.
- Upload data you do not have the right to use, or that infringes others' rights.
- Attempt to gain unauthorised access to the Service, other tenants' data, or related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, copy, or resell the Service except as permitted by law.
- Use the Service to send spam or transmit malware.
4. Subscriptions, fees, and payment
Access to paid features is provided on a subscription basis. Fees, billing cycles, and any usage-based charges (e.g. SMS credits) are presented before purchase. Unless stated otherwise, fees are payable in advance and non-refundable except where required by law. We may suspend or limit access for overdue payment after reasonable notice, and may change pricing prospectively with notice before it takes effect.
5. School Data and ownership
As between you and SkoolDrive, the School owns its School Data. You grant us a limited licence to host, process, and display that data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of the data you provide and for obtaining any consents needed to process it.
6. Intellectual property
The Service, including its software, design, and trademarks, is owned by SkoolDrive and its licensors and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.
7. AI-assisted features
Optional AI features generate drafts and suggestions (such as insights or remarks). Output may be inaccurate or incomplete and is provided for human review; you are responsible for checking and approving any AI-generated content before relying on or publishing it.
8. Availability and support
We work to keep the Service available and reliable, but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update features, or modify the Service, and will aim to give notice of significant planned downtime where practicable.
9. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the platform. On termination your right to use the Service ends; we make School Data available for export for a reasonable period before deletion, as described in our Privacy Policy.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, SkoolDrive will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
12. Indemnity
You agree to indemnify SkoolDrive against claims, losses, and expenses arising from your misuse of the Service, your School Data, or your breach of these Terms, except to the extent caused by us.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The parties will first try to resolve any dispute amicably; failing that, disputes are subject to the jurisdiction of the competent courts in Nigeria.
14. Changes to these Terms
We may update these Terms from time to time. When changes are material, we'll update the "Last updated" date and, where appropriate, notify you. Continued use after an update means you accept the revised Terms.
